Do you REALLY need 8gb?

You may want to give some detail into why.

1066 will require overclocking.

Overclocking a server = bad.

You want general stability.

Agreed, but just for the record, you can't say for sure which is faster in a given situation without actually trying it out. Some applications make the most out of tight timings and/or speeds, while others can easily be indifferent to one or the other. But if you're running a server, more than a few boards have trouble pushing four dimms at 1066Mhz, so 800Mhz is definitely the way to go in this case.

Doesn't DDR800 @ Cas 4 performs just as fast as DDR 1066 @ Cas 5?

Unless things have changed most don't overclock their ram on AMD platforms, I know I didn't back in the day.

EE

As I understand it - and I stand to be corrected on this - while the main memory latencies are basically similar, there are still a large number of other factors involved in moving info between the memory and the CPU, such as chipset latencies. This is one of the reasons why the i7 platform's memory performance is so high, even with high latency, 'slower' memory sticks.
