<p>VIA acquired S3 Graphics in 2001 with the intention to accelerate  integration of graphics capabilities with its processor and chipset  products. S3 Graphics became undercapitalized in 2005, and VIA  introduced WTI Investment International, Ltd. (&#8220;WTI&#8221;) as a new investor  to help fund the operations and R&amp;D initiatives. WTI is a private  investment company, in which Cher Wang, Chairman of VIA, is a  significant shareholder.</p>
<p>Under terms of the agreement with HTC, total consideration for all  outstanding shares of S3 Graphics will be US$300 million. Of which, VIA  will receive US$147 million; and WTI will receive US$153 million. VIA  will recognize a capital gain of US$ $37 million and paid-in-capital of  US$ 115 million in this transaction.</p>
<p>&#8220;The transaction would allow VIA to monetize a portion of its rich IP  portfolio, yet retain its graphics capabilities to support the  development and sale of its processors and chipsets,&#8221; said Tzu-mu Lin,  Senior Vice President and Board Director of VIA. &#8220;We wish to thank WTI  for its capital contribution to support S3 Graphics since 2005.&#8221;</p>
<p>The proposed transaction has received approvals from the boards of  directors of VIA, WTI, and HTC. Subject to regulatory approvals and  other customary conditions, the transaction is expected to close before  end of 2011.</p>

 The VIA EPIA P710-D works in tandem with the Pico-ITXe-based VIA EPIA-P710 board, adding an I/O feature set tailor-made for fleet management device design. These include three Mini PCI Express slots that can be used to employ a wide range of Wi-Fi, GSM, 3G/3.5G, GPS and GPRS modules depending on specific regional and application requirements.</p>

<p>The VIA EPIA-P710-D is designed to accurately suit any device that is fitted directly to the dashboard, occupying one DIN unit. The VIA EPIA-P710 board is connected using SUMIT connectors, positioning the VIA Eden processor downwards allowing simple passive cooling designs that can incorporate the chassis of the device.</p>

<p><br style="padding: 0px; margin: 0px;" />With the VIA EPIA-P720, the VIA VX855 MSP takes the video decompression burden from the central processor, applying industry-leading hardware acceleration for the most compression-intensive codecs, including H.264, VC1, WMV9 and MPEG 2/4, at display resolutions up to 1080p. The VIA EPIA-P720 also boasts several display connectivity options including native HDMI, VGA and LVDS support.</p>
<p><br style="padding: 0px; margin: 0px;" />The VIA EPIA-P720 &#8211; Small yet Powerful<br style="padding: 0px; margin: 0px;" />Measuring a mere 10cm x 7.2cm, the VIA EPIA-P720 is based on the VIA-developed, ultra compact Pico-ITX form factor. Powered by a low power, fanless 1GHz VIA Eden ULV processor, the VIA EPIA-P720 supports up to 2GB of DDR2 system memory and is the first Pico-ITX board to feature the VIA VX855 Media System Processor.</p>
<p><br style="padding: 0px; margin: 0px;" />A highly integrated, all-in-one chipset, the VIA VX855 MSP is specially designed to provide flawless hardware acceleration for the latest HD video codecs including H.264, WMV, VC1 and MPEG 2/4 at high bitrates and display resolutions of up to 1080p. The VIA Chrome9™ HCM 3D integrated graphics core boasts full DirectX 9.0 support and a 128-bit 2D engine with hardware rotation capability.</p>
<p><br style="padding: 0px; margin: 0px;" />The VIA EPIA-P720 uses a specially designed I/O add-on-board, the VIA P720-A, which complements the native HDMI port to add a VGA port, a Gigabit LAN port and two USB 2.0 ports. The VIA Vinyl HD audio codec provides 6 channel, DTS capable audio with S/PDIF support. Storage is provided in the shape of an onboard 44-pin IDE connector and one S-ATA port.</p>
<p><br style="padding: 0px; margin: 0px;" />On board pin headers provide support for an additional 4 x USB 2.0 ports, an LPC connector, SMBus connector, PS/2 support, audio jacks, LVDS, 4 pairs of DIO and two UART ports.</p>
