SeaSonic M12II Bronze 500w for this setup?

hi Canucks. almost done purchasing parts for a new budget gaming build, and i'm looking for some expert opinions on if this PSU might be cutting it too close for this setup...

Wolfdale e5200 (plan to overclock to about 3.4-3.7Ghz)
1x Barracuda 7200.10 750w
4GB DDR2 800 (plan to overclock)
Radeon 4890 (plan to overclock)
3x 80mm fans
2x 120mm fan
1x DVD burner

edit: i'm mostly concerned w/ the combined 420w on the 12v rails... i just don't want that to limit the OC ceiling for the CPU, memory and GPU...

You're not even close to the limit with that PSU. It's perfectly alright.
