Save yourself some money from your motherboard. Instead of getting Gigabyte GA-P35C-DS3R LGA775 169$m, get this one instead Gigabyte GA-P35-DS3R for $137.69. The difference is the DDR2/DDR3. Are you actually going to upgrade your RAM from DDR2 to DDR3 without replacing the mobo/CPU combo in the future? I doubt it.

Take that extra $21 and invest into one of the PSUs SKYMTL suggested.

Using a power supply rated beneath 500 watts is a moot point when you're spending that amount of money on memory, CPU, and CPU cooler to overclock your system--which, in turn, draws more power.
