Default Overclocking a Phenom II 940

So right now I have a Phenom 9950BE at 3.0GHz with a Coolermaster V8. Im running on Windows 7 btw. Im thinking of upgrading to a Phenom II 940 and lapping it and putting the Coolermaster V8 back on it. Also, its all jam packed into the Antec 1200, well not really jammed, there is lots of room. Room temp is about 19C - 20C

I have a few questions.

1.) Is the 940 really that much better than the 9950BE? How much better (overclocking wise)

2.) What motherboard do I want? I am using a Sapphire 4870x2. I have two (mobo's) right now I am looking at:
-ASUS M3A79-T Deluxe......................$200CND - $250CND
-Asus M4N82 Deluxe..........................$230CND

3.) I have another post [4870x2 PSU Help asking what PSU I should get, however that post is based off the 4870x2 and a 9950BE, is there really going to be that much difference between the two power wise? Im looking at 'PC Power & Cooling Silencer 750 Quad 750W' and 'OCZ GameXtreme 850w SLI'.

I have the same cpu and the m3a79-t. I didnt lap the cpu or my vendetta 2 but about 3.8 seems to be my stable limit although it could be because my psu cant handle having that much of an oc along with my 2 video cards. I also did need 1.55v on the cpu to get this, and had to mess around for awhile but it was pretty fun.

Just so you know alot of the 940s if not all seem to have an issue hitting and exceeding 4ghz on air. People have been at 3990 and prime 95 stable, but the extra 10 mhz wont boot.

And the phenom IIs are also about 20% faster clock for clock than the first gen phenoms if i remember correctly.

Most Phenom IIs top out at around 3.8Ghz. A bit higher if you're lucky.

Also, don't forget to turn on ACC if you have it. It seems to make a huge difference when overclocking.

no one really knows, but it is a feature present on amd motherboards equipped with the 750 southbridge and the upcoming 710 southbridge.

basically, a +2% across all cores will help with overclocking, and a -2% across all cores with help with under-volting and underclocking.

it improves stability somehow... but I've never used it. I think I'll try it out and post something about it.
