I haven't had any issues reinstalling XP aftering using the free Vista upgrade. I did it a lot when we were offering free installation of the free Vista upgrade that was offered to those who bought XP computers between October 2006 and April 2007.

It might be different w/ the actual retail upgrade copy. That said, I haven't had anyone who had us install the upgrade copy actually want to go back to XP.

i dont think so.. most of the vista upgrades I did.. ended up having people going back to xp pro... and the key was fine. The amount of roll backs to xp, done was according to other techs .. 428 pc's.. and not a prob.. but check with ms

You mean downgrade? Going from Vista to XP is a downgrade.. Vista to Xp is a upgrade

Joking aside, if you have Ultimate/Business, you're legally allowed to run XP instead. All you need is the media and a used key.
That said, if you fail activation for downgrading an upgrade (or is it upgrading a downgrade) just explain it to MS. They should release the key.

I believe in the EULA there is something about "forfeiting" your XP license. However I have gone to Vista, back to XP, then to Vista again with no problem. I don't remember having to input my XP key when going to Vista though.
