You're not going to see a HUGE improvement going from 939 to AM2 - also you didn't say how much memory you did have before (regardless of keeping it) Also buying the Black Box means you still need a CPU Heatsink of some sort.

If you can handle it - this would be my short list.
Intel Core 2 Duo E4600 Dual Core Processor LGA775 $142
ASUS P5Q Pro ATX LGA775 P45 DDR2 $139
OCZ Reaper Hpc Edition PC2-9200 2GB 2X1GB DDR2-1150 $45 after rebates
$326 before tax @ NCIX current sale - the shipping depends where you are. Hope this helps out a bit - the board is a bit overkill but should last you a good while and be a much bigger jump then your suggestion.

mmm I'm about to remove my P5KE wifi this weekend to make way for a 4870 and DFI x38T2R. I'll need to test the MB before I can sell. I also have some Mushkin HP 8500 2x1gb with strong D9 micron modules. If all gos well I can ship the lot for 130 if you want. Then you have enough for an E8400 with a few more dollars. If your interested I can post signed pics of the items.

Anyway if your not interested just get a decent gigabyte DS3L board on tp of that RAM.

Yeah don't buy AM2...

If magictorch's awesome deal falls through, you could get something along the lines of this:
Intel Core 2 Duo E7200
Gigabyte GA-EP35-DS3L
2x1GB DDR2-800 (Mushkin, OCZ, Corsair)

That should be roughly around $300 and all new.

Would you mind listing what PSU you have though?

Exactly what I was about to suggest.

With your heatsink you'll be able to overclock that 7200 like mad

ok I jumped on it. For $129.98 it seemed like a good deal.

Yea I think that was a good deal. Youll have more fun pushing a 2.5ghz chip to 3.8 or 4ghz
