Potential Upgrades

I'm thinking of upgrading my mobo and my cpu heatsink.
Current hardware:
Asus M2N-SLI Deluxe
4GB DDR2 800
Phenom II x4 940 BE, currently stock clocks but would like to OC
Stock heatsink running at ~60C under full load
9800GT OC edition
Apevia X-Gear Metal Case (Welcome to Apevia.com | *ATXB5KLW-BK)

My pc runs 24/7 with F@H and gaming and I'm hoping for some OCing room, which I don't really have now.
The parts I've looked at are:
ASRock A785GXH/128M Newegg.ca - ASRock A785GXH/128M AM3/AM2+/AM2 AMD 785G HDMI ATX AMD Motherboard - AMD Motherboards
Scythe Mugen 2 120mm PC Cyber Canada - For All Your Computer Needs

I was wondering if anyone has any better suggestions for similar prices or if anyone has installed the Scythe Mugen 2 on that board or any board with a similar layout because I'm not sure if it'll fit in my case and on the board without covering RAM slots. My ram is roughly 32mm from the board to the top.

All suggestions and comments are much appreciated.

I don't quite get the new motherboard. Going from a good Asus board, to a (imo) lesser motherboard from ASRock? I haven't played with either board, is there settings restricting FSB on the ASUS?

I'm wondering why you don't have any overclocking room - I don't know your settings in bios, but perhaps you're clocking your FSB higher and your board isn't posting because your ram is standard 800Mhz?
You would have to move up to faster RAM in order to clock the FSB past 200Mhz.

I would throw some 1066Mhz DDR if that's the case, i'd recommend some GSkill:

I don't have any experience with a Scythe Mugen 2, however I do recommend the CM Hyper 212 for just about anything.

The M2N SLI Deluxe does not officially support my cpu, reads it as Unknown AMD Processor. Also, the HTLink on my current board is limited to 1000MHz, the ASRock board has 2600MHz and a better chipset.
As for the cooling, have you run the CM Hyper 212 on any quads in the past? Based on [Guide] Air Cooling Questions Answered Here! (Updated 2/11/10) - Overclock.net - Overclocking.net it seems like its basically the same as the Mugen 2 so good call on the CM Hyper 212+, looks like its still going to be a close fit for my case though.
