Default Micro ATX - HTPC/Backup Gamer

I've got a some space parts kicking around and would like to turn them into a living room PC/backup gamer for when a friend needs a computer.

Parts I already have:
  • Intel E2160 processor (this one overclocks easily to 3.0Ghz)
  • Corsair VX450 Powersupply
  • Some old hard drives
  • An old case (looking to upgrade to a decent Micro ATX case though)
  • older DVD burner

What I need:
  • Mobo: any decent MicroATX intel boards, most the ones I've seen are outdated
  • Graphics: leaning towards ATI 4670 as it should be able to run most games at medium settings.
  • RAM

I'd like to spend less than $200 to make this work and have a motherboard that supports some overclocking.

Will that motherboard support all socket 775 Core2Duo processors?
That's a great deal on the 9800gt, very tempting.

I would recomend an ATI gpu. It has dvi-hdmi audio support, that way you can listen to audio on your tv with no trouble.
