My first HTPC Build

Hey guys this will be my first htpc build. I've totaled it from newegg.ca. Please let me know your suggestions. My budget will probably be around 500$ and I would like it quiet enough so that it isnt annoying when sitting about 2 meters away from it. My primary use of it would be surfing and playing HD videos over LAN and possibly the occasional game if I may.

I chose the gigabyte mb instead of the ASUS one that costs ~ the same

because of the ide port which I will use for my hdd. I do not need a large hdd since I have a nas drive that will send the data over my gigabit network. Please let me know your suggestions and if I could be more wisely spending my cash.

That's a lot of CPU for a HTPC. Are you doing anything else on it that you need more power?

I was hoping that if i bought the phenom cpu I wouldn't have to upgrade the pc for just media use and light gaming. I wanted that cpu because its a 45nm 65w cpu and noise is an issue for me. Should I opt for one of these:

and spend the extra dough on better/more ram and a new GPU instead of the phenom?

On a side note, would a 95w cpu really be that loud on stock cooling?
