The mobo will run them with no problem. They never test all mobo with all memory on the planet. What is the deal for this board??? I wont paid more then 80 for it according that it's maybe more then 2 years old and it's a dead unit (they don't produce it anymore ) What is you system spec for the moment also???

I don't see any reason to replace your current board with an old P35 board. If you really want to swap it for something better, get something like the ASUS P5Q Pro Turbo/P5Q-E or Gigabyte GA-EP45-UD3P/GA-EP45-UD3R instead.

The Gigabyte is better, but not enough to warrant upgrading to such an old board when there are much newer and much better P45 boards out there like the ones I suggested to you.

would a eVGA 750i SLi FTW mobo be better..?

Tigerdirect has some in stock at around 150$

i'd get this : Buy the EVGA nForce 790i SLI Digital PWM - Recert at TigerDirect.ca

But it needs DDR3 memory... and i only got 4GB of DDR2

Well you should have mentioned that earlier. The Gigabyte you were looking at doesn't fit that requirement anyway. If you were to get an nVidia board, the EVGA 750i SLI FTW is the only one I would suggest. However, you'd be better off with a P45 board unless you really want to go SLI in the future.
