That is kinda like trading in your nice powerful Cadillac for a Toyota tercel. I have a q6600 and an e8500 and I still prefer the q6600 now a 2180...it is pretty light weight and pretty low in the L2 cache dept.
just do a clean install and enjoy my boot times with my q6600 on win 7 32bit is about 36 seconds.

This sounds like a trade you should not make unless your really hurting for money. You could probably get $100 plus e2140/60/80 for your cpu if it's a G0 that clocks well.
