32-bit software has the same memory limitations as 32-bit operating systems. However, all the major VM programs are available in 64-bit versions. I have personally used 64-bit versions of VMWare, VirtualPC, and VirtualBox.

The limitation comes from the OS and the software. 32-bit programs running on 64-bit Windows through WOW64 cannot access more RAM than it would be able to under a 32-bit OS.
