I had an E5200 spare CPU also, and was looking for a *cheap* LGA775 mATX motherboard a few months ago. I went with an MSI G31TM-P21 - I got it for $42 off of newegg.
I didn't use mine for an HTPC, I used it in a larger case for my WHS.
It does fit your need (mostly) and has a PCI Express x16 slot for future vid card upgrades and two PCI slots for sound cards.. although I would have rathered a PCI Express x1 slot extra (or two)
