If you're not overclocking and you're not going Crossfire, then the differences won't matter.
One has 8+2 Phase Power (better for OC)
One Has 4+1 Phase Power
One Supports DDR2 up to 1333
One Supports DDR2 Up to 1200
For you it won't matter, which is why I said take the cheaper one of the two to save on money.
